VEXELS AFFILIATE PROGRAM - TERMS & CONDITIONS

Please read our affiliate terms and conditions carefully before you join our program or begin marketing our program. Each affiliate is responsible for assuring that its employees, agentes and contractors comply with these terms and conditions. Affiliate terms and conditions are subject to changes. Thank you for your understanding.
Introduction: These terms and conditions (Terms of service) set forth the terms and conditions that apply to you (affiliate) and your membership in the Vexels’ Affiliate Program (Program). The program is operated and offered by Vexels Inc.
Vexels reserves the right to update and change these Terms at any time without notice. Any new features that augment or enhance the current program, including the release of new tools or resources, shall be subject to the terms of service. Continues use of the program after such modifications. In such an event, an attempt will be made to inform you of the changes, but you are ultimately responsible for being aware of the current terms of service.
Violation of any of the terms below will result in the immediate termination of your membership in the program and forfeiture of any outstanding affiliate commission payments earned during the violation.
Suitability: For affiliates to be eligible to participate in the Vexels affiliate program, all information provided upon registration must be accurate and up-to-date. The minimum age requirement is eighteen (18) years of age. No personal information of individuals seventeen (17) years of age or younger may be submitted or collected on behalf of Vexels. Each individual or legal entity is limited to one account; multiple accounts are strictly prohibited. The individual or legal entity that opens an account is ultimately responsible for all activity that occurs under it, even if initiated by others with an account affiliated to it.
Enrollment: Following the submission of your application, we will review your information within a maximum of 48 hours. You will be notified shortly thereafter of the outcome of your application. We reserve the right to accept or reject any applications for any reason; however, if you feel our decision was incorrect, please do not hesitate to reach out to us at affiliates@vexels.com. To ensure that we make a fair evaluation, kindly include all of the websites used by you in your registration details.
Website Restrictions: Participating websites must comprehend the following unacceptable activities:
Infringe on our or anyones intellectual property, publicity, privacy or other rights.
Violate any law, rule or regulation.
Contain any content that is threatening, harassing, defamatory, obscene, harmful to minors or explicit materials.
Publish or link to Vexels from adult, gambling or offensive websites.
Contain any viruses that intend to damage, interfere, surreptitiously intercept or expropriate any system, data or personal information.
Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to (or from) any other website, or that potentially enables the diversion of affiliate commissions from another website. This includes toolbars, browser plug-ins, extensions and add-ons.
Place any advertisements on any online auction platform (i.e. eBay, Amazon, etc), bulletin board system (vBulletin, newsgroups), chat room, Desktop software, or "pop-up" or "pop-under" window.
Make any representations or warranties concerning Vexels, its affiliates or any of their products or services, except as expressly published by Vexels.
Use any statements in their advertising that denigrate the reputation of Vexels, its affiliates or any of their products.
Disparage Vexels, its affiliates, the Vexels website, or any Vexels affiliated products including, without limitation, referring to Vexels and using the words "scam", "rip-off", or any words with a similar or associated meaning in any advertisement or website copy.
Linking to our website: Upon acceptance into the program, you will be given links through the affiliate interface. You must ensure that your referral link is used correctly. Vexels is not responsible for any commissions that may be lost due to incorrect formatting of the affiliate link. By accepting the program, you are agreeing to adhere to the following: 1) All domains using your affiliate link must be listed in your profile; 2) You must only use the referral link issued by the affiliate interface without any manipulation; 3) Cookie stuffing or inclusion of pop-ups and misleading links on your website is prohibited; 4) You may not change information from where a click originated; 5) Your website must not be a copy, look similar to, or mirror our website in any way which can create an impression that it is ours; 6) You may not use trademarked terms or misspellings of such words to redirect traffic through an Internet Service Provider (ISP) to either your site or Vexels’ without written permission from Vexels.
IMPORTANT: If you are found redirecting links to hide or manipulate their original source, your current and past commissions will be voided.
Advertising & Publicity:
If you intend to promote the program through email campaigns, you must first obtain approval from us before sending it to your audience. Additionally, a copy of the email must be sent to us.
The email should not give space for misunderstanding, clearly sent under your name and not Vexels'.
In case you will be promoting Vexels through campaign ads, please read instructions carefully in this manner. If the pdf is not attached, please ask for a copy.
You may use the creative assets provided by Vexels in sales for social media. As well as in your landing page (if this last information corresponds to you).
PPC Guidelines: If you're taking part in Pay-Per-Click (PPC) advertising, there are certain guidelines you must follow. These include not bidding on Vexels trademark/brand names, not using our trademarks in any search or content campaigns, not using them in the title of ads, and not directly linking to the site from PPC ads. Automating your campaign should also exclude these terms and add them as negative keywords - failing to do so may result in all commissions being forfeited for 30 days.
Social media: Promotions on social medias such as Instagram, Youtube, Pinterest, Facebook and other platforms is permitted following the following general guidelines:
You are not eligible to run Facebook ads with Vexels’ trademarked company name
You are not eligible to create a social media account that mirrors, copies or looks similar to Vexels’ page name or username.
You are eligible to promote offers to your audience by linking your referral link.
Payment: Any affiliate is eligible for payment with a minimum commission of USD 50 or more. All payments below this amount will be held until it is reached and paid within the next 30 days. Payments are processed on a calendar month basis. Unless notified to our team, affiliates cannot accumulate several months of payments.
If multiple payment notifications are sent in one calendar year (365 days), Vexels may keep all generated payments from that year if it is proven that the affiliate had no interest during that period. If an affiliate re-establishes communication with Vexels, they cannot reclaim potential losses in prior years, starting their balance at USD 0.00.
Affiliate activity: Vexels is dedicated to supporting their affiliates in maximizing their potential and maintaining active participation in the program. We offer direct communication channels to assist and enhance their performance.
However, if after 10 months of acceptance into the program, an affiliate demonstrates no activity, sales or fails to express a desire to increase sales, they will be removed from the Affiliate Program. An initial notification will be sent within the first 6 months. If no response is received and the 10 month mark is reached, removal will occur without further notice.
Term and Termination: The term of this agreement will begin upon our acceptance of your application and will end when terminated by either party. Either Vexels or you (affiliate) may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination.
Upon the termination of this Agreement, you will immediately cease use of, and remove from your site, all affiliate links to Vexels or Vexels’ products, and all of our trademarks and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the program. Vexels, at its sole discretion, reserves the right to suspend or terminate your account and refuse any and all current or future use of the program, or any Vexels services for any reason at any time. If the termination was due to a violation of this agreement, such termination will result in the forfeiture and relinquishment of all potential or to-be-paid commissions.
You hereby grant to Vexels’ a perpetual, non-exclusive, worldwide, royalty-free, sublicensable and transferable license to use, reproduce, distribute, modify, prepare derivative works of and display your postings and any content contained therein, which have been created by you pursuant to this mission (collectively, the “Content”), in connection with Vexels’ and its affiliates’ businesses in and through any media formats and channels.You acknowledge and agree that you will not be attributed as the author of the content in connection with the foregoing use.
The service provider (Affiliate) agrees to allow Vexels to use their name and likeness permanently in all media formats, like videos and photos, associated with Vexel's business activities. Furthermore, Service Provider releases Vexels and its affiliates from any potential claims, demands or damages that may arise from the use of Service Provider's name or likeness. The Service Provider has read and comprehends the terms of this contract. illustration and not limitation, this waiver includes the paternity and integrity rights of the Content. The Service Provider understands that pursuant to the market’s customary practices his name may not appear in the Content used by Vexels.
